Summary
- StarHub’s proposed purchase of MyRepublic Limited’s Singapore mobile business ties consideration to 4G and 5G subscribers whose contracts are transferred, who have migrated to StarHub’s network and who still meet the payment-based activity test.
- The agreement also sets conditional migration bonuses. The final price is not fixed in the announcement, and regulatory, licensing and transition conditions still stand between agreement and completion.
On 8 October 2026, StarHub announced an agreement to buy MyRepublic Limited’s Singapore mobile business through MyRepublic Broadband Pte. Ltd., its wholly owned subsidiary. The buyer is not acquiring an already completed business: the transaction remains conditional, with completion due by 30 April 2027 unless the parties agree another date. The distinction matters because the price is designed around what crosses the boundary by completion, not simply the announcement-day subscriber count. SGX transaction announcement
The disclosed formula is (A × B + C × D) × subscriber lifetime in months × 40%. A and C are the 5G and 4G subscriber counts that qualify at completion; B and D are the corresponding average monthly recurring local subscription revenue per user over the final three months. A subscriber counts only if the person has migrated to StarHub’s network, the underlying contract has been assigned or novated to the purchaser, the contract remains active, and the customer has renewed or made a fresh payment in at least two of the preceding three months. The public document does not provide a fixed total consideration or the final inputs. SGX transaction announcement
That definition separates four events that headlines can blur: access to a host network, movement of a subscriber’s service onto it, transfer of the customer contract, and legal completion of the business sale. StarHub and MyRepublic had a 5G wholesale relationship before the new deal. In August, they announced that MyRepublic’s 4G subscribers would move onto StarHub’s network. The October release says migration was already progressing. Neither statement proves that a subscriber’s contract has been assigned, that the two-of-three-month payment test is met, or that the purchase has closed. The customer-facing promise is continuity: MyRepublic said customers could keep using the service and brand they know, while StarHub’s release says existing plans continue without disruption. That promise is compatible with a different network underneath. It does not remove the commercial test in the sale agreement. A customer can have working service on StarHub’s radio network while remaining outside the final consideration if the contract transfer or activity condition is incomplete. Conversely, a successful transfer is not evidence by itself that service quality or customer value improved. MyRepublic customer note; StarHub release
The agreement adds two possible S$1 million bonuses at migration thresholds of 25,000 and 50,000 subscribers above StarHub’s stated 30 July 2026 5G-subscriber baseline; the second has a 14 March 2027 deadline unless extended. Either, both or neither may be earned. StarHub also paid a refundable S$2 million deposit, which is credited against the final consideration and partly returned if it exceeds the amount due. These provisions place observable migration and retention evidence inside the transaction’s cash mechanics, rather than treating integration as a post-close operational footnote. Management cited approximately 85,000 existing Active Subscribers and a blended ARPU of about S$13 when estimating S$2.4 million of pre-tax profit for the 12 months to 30 June 2026. StarHub cautions that the mobile business is neither a separate legal entity nor a reportable segment and that the estimate is unaudited and unreviewed. Those numbers cannot be used to reverse-engineer the deal price: the formula uses a 4G/5G split, final-period ARPU, transferred contracts, payment status and subscriber lifetime. For investors and operators, the useful question is what evidence will reconcile the promise of an uninterrupted brand with the transfer ledger: migrated lines by generation, assigned contracts, recurring payments, three-month ARPU, attrition, service complaints and the conditions for IMDA licensing and transition services. The same customer is simultaneously a user to keep connected and a unit in a formula. Until those records are reported, “migration complete” and “acquisition complete” should remain separate claims.
