Summary
- Meta's 250 million Series A depositary-share offering closed on 29 October 2026. Its final prospectus estimated roughly $12.5 billion of net proceeds after discounts and expenses; the underlying mandatory convertible preferred carries a 6.50% dividend rate.
- The concurrent common-stock forward used 40 million borrowed Class A shares sold by forward sellers. Meta's 8-K says it received no initial proceeds from that sale. It expects about $24.9 billion before expenses at the initial forward price upon later settlement, subject to adjustments, on dates through 19 November 2027.
The shares sold before Meta got paid
The headline size of an equity sale is usually treated as money in the issuer's pocket. Meta's October transaction refuses that shortcut. The company entered forward-sale agreements initially covering 40 million Class A shares. Forward purchasers or affiliates borrowed those shares from third parties and sold them through the underwriters. Investors bought stock in the public offering, but Meta did not deliver its own newly issued shares to those buyers at that moment and did not receive the offering proceeds. The forward sellers' sale and Meta's future cash receipt sit on different dates.
Under the filed 8-K, Meta chooses one or more settlement dates, subject to contract conditions, no later than 19 November 2027. It will then issue shares to the forward purchasers at the applicable forward price. The initial price is $622.91875 per share. Daily funding-rate adjustments, specified reductions and potentially a Class C settlement adjustment mean the final cash figure is not locked at that initial multiplication. The final prospectus gives approximately $24.9 billion of expected net proceeds before expenses if the base forward settles at the initial price. The agreement also allows forward purchasers to accelerate settlement on specified events, including certain share-borrowing failures.
The other clock started sooner. Meta issued 250 million depositary shares, each representing one-twentieth of a Series A mandatory convertible preferred share, and the offering closed on 29 October. The preferred carries a $1,000 liquidation preference per underlying share and a 6.50% annual dividend rate. The prospectus estimated roughly $12.5 billion of net proceeds after underwriting discounts and expenses for the base offering. That is an offering estimate, while the 8-K confirms the close. Preferred dividends accrue and can be paid in cash or, within the terms, shares; the first scheduled declaration date is 15 February 2027. Unless converted earlier, the preferred converts around 15 August 2029 into a variable number of common shares under the contract.
These are two kinds of capital with different timing and cost. The preferred issue can bring funds promptly while creating a dividend and future conversion claim. The stock forward postpones Meta's receipt of cash and new share delivery until settlement. A planned $60 billion at-the-market Class C programme mentioned in the issuer launch announcement had not been established in that announcement. It cannot fill the October cash column. The same announcement put Meta's expected 2026 capital expenditure at $135 billion to $145 billion. Both offerings' stated use of proceeds is general corporate purposes; neither disclosure assigns the money to a named data-centre campus.
The practical question is when Meta will pull the forward-sale cash into its own treasury and what price and share class it will deliver. The terms permit a Class C path after the new charter and other conditions, and the forward price changes over time. A later filing with actual settlement dates, proceeds and shares issued would turn the advertised $24.9 billion into an observed financing receipt. Until then, October's borrowed-share sale belongs to the market's cash flow, not Meta's.
