Summary
- Marvell and Lumentum announced a stock merger on 2 November 2026, valuing Lumentum at an implied $115bn enterprise value. In specified termination cases, Lumentum owes $2.9bn, Marvell owes $5.8bn for an alternative-deal path, and Marvell owes $3.2bn if named regulatory obstacles alone leave the other closing conditions ready.
- Marvell controls the final regulatory strategy after consulting Lumentum. The agreement contemplates asset sales, licenses and supply or pricing commitments, but does not require Marvell to accept a remedy materially adverse to the combined business or effective before closing.
The announcement sells an electrical-and-optical future. The merger agreement prices the ways it can fail.
Marvell is offering 4.500 of its shares for each Lumentum common share. The companies describe an implied enterprise value of about $115bn and expect Marvell holders to own about 67% of the combined company, Lumentum holders about 33%. The exchange ratio is fixed; the stock value can move while the deal waits for votes and regulatory clearance. The companies expect to close in the first half of 2028. That is the ambition. The filed agreement is the operating manual for the wait.
It names three large payments with different triggers. If Lumentum changes course under the specified board-recommendation, superior-proposal or later alternative-transaction conditions, its fee to Marvell is $2.9bn. The corresponding Marvell alternative-deal fee is $5.8bn. Those are defined contractual cases, not a price either party can pay simply because it has lost interest.
The third number belongs to regulatory failure. Marvell owes Lumentum $3.2bn if the agreement ends under specified outside-date, final legal-restraint or final regulatory-denial circumstances and the non-regulatory closing conditions are already satisfied or capable of being satisfied at closing. A failed shareholder vote does not automatically turn into a regulatory fee. The SEC filing makes that conditional boundary explicit.
The regulatory clause also tells a more interesting story than the fee alone. Marvell and Lumentum must pursue approvals and, where necessary, consider holding businesses separate, selling or licensing assets, changing contracts, or offering third parties supply and pricing commitments. Marvell has final say on the regulatory strategy after consultation. Lumentum cannot propose or accept a remedy without Marvell's written consent. The buyer has the steering wheel.
The steering wheel has a stop line. Marvell need not accept a remedy reasonably expected to be materially adverse to Marvell and Lumentum together, nor one that takes effect without being conditioned on closing. This is the commercial boundary around the promised combination: the buyer has committed to work for clearance, while retaining a contractually defined limit on what it must surrender to obtain it. The filing reports no particular agency demand for a divestiture or customer-access term.
Time increases the pressure. The agreement starts with a 1 November 2027 outside date. It can extend automatically to 1 February, 1 May and 1 August 2028 if specified regulatory conditions remain outstanding while the other conditions are ready. That schedule gives a regulatory review several potential extra quarters, but it does not convert the first-half-2028 closing expectation into a guaranteed date.
For Lumentum, the $3.2bn clause gives a defined payment in a narrow regulatory-only failure. For Marvell, the remedy ceiling protects the combined business it says it wants to build. For both shareholder groups, the decisive documents will be approval votes, actual regulator demands, the proposed remedy and the exact conditions left open at termination. The $115bn headline can move with Marvell's shares; the three stated fees stay in dollars.
