Summary

  • Transferring a Madrid international registration or its basic mark does not remove their dependency during the first five years. Proceedings begun within that period can still produce consequences after it ends.
  • WIPO recorded 5,776 full or partial cancellations caused by the basic mark ceasing to have effect in 2025. Eligible transformation applications must reach national or regional offices within three months of the cancellation being recorded.

The trademark schedule is a comforting part of an acquisition agreement. Countries, registration numbers, owners: a tidy inventory of something the buyer can apparently take home. Under the Madrid system, that inventory can leave out a rather useful detail. Someone else may still decide whether to maintain the right holding it up.

An international registration can be transferred separately from its basic mark. During the first five years from the international registration date, the dependency between them survives. The buyer gets a new entry in the ownership record. It does not necessarily get control of the basic application or registration on which the international rights depend.

This is an explicit warning in paragraphs 830–832 of WIPO’s Madrid guide. A change of owner of either right, or both, does not alter the dependency. Non-renewal of the basic mark, withdrawal of the basic application or its refusal can still cause the corresponding cancellation of the international registration, even where the basic mark belongs to a different owner.

The deal divides the income before it divides the dependency

Consider the structure of a territorial sale, rather than an invented casualty. A seller keeps its home business and the basic mark. A buyer acquires international rights for foreign markets. The buyer then spends on distribution, packaging and promotion. The seller decides how much attention and money the basic mark deserves.

That is a small governance problem with an unusually direct route into asset value. Defending the basic mark may be essential to the buyer’s expansion but look expensive relative to the seller’s remaining business. Neither party has to behave maliciously. They merely have to start running the separate businesses the transaction created.

The right can therefore be transferable while an important decision about its survival remains elsewhere. A promise to cooperate sounds less substantial once cooperation requires a budget that benefits another company.

Madrid’s central administration is useful precisely because it reduces fragmented work across markets. Protection still involves the designated offices applying their own law. WIPO’s current FAQ explains that a refusal in one designated member does not affect protection in the others. Failure of the basic mark reaches a different part of the structure: the shared foundation of the international registration. A long list of territories can conceal a common dependency.

Five candles do not close a pending case

The original international registration date anchors the timetable, including for markets added through subsequent designation. That gives a buyer one dependency period to investigate, plus the proceedings carried inside it. A case begun before the fifth anniversary can reach its conclusion afterward and still produce cancellation consequences. An automated green cell can celebrate independence before the legal record does.

Scope matters just as much as timing. Loss of the basic mark for particular goods or services can produce a partial cancellation. In its 2026 yearly review, WIPO reports that 5,776 international registrations were cancelled partly or entirely in 2025 because the basic mark ceased to have effect. Partial cancellations accounted for 55.7%. This is a count of affected registrations, not of entire brands wiped out or acquisitions gone wrong.

Nor does every case require a resourceful opponent mounting a central attack. Inaction can travel through the same dependency. A file that loses its place in one owner’s budget can become a problem for another owner’s foreign business.

The escape route preserves a date and sends the work abroad

Where cancellation follows the basic mark’s cessation of effect at the request of the office of origin, eligible holders can seek transformation into national or regional applications. They must file directly with the relevant offices within three months from the date the cancellation was recorded in the International Register.

That starting point is unforgiving of organisational delay. The clock does not wait for the acquisition team to locate the person who inherited the mailbox.

Transformation can preserve the applicable international registration date or subsequent designation date, together with any applicable priority. Local requirements, fees and handling still have to be addressed. The earlier date can survive while the administrative work breaks into several urgent local assignments. Protection is not automatically granted everywhere. Voluntary cancellation of the international registration does not open this route.

WIPO has no statistics for transformation requests filed in 2025, because they go directly to local offices; that missing series prevents the cancellation total from telling us how much protection was recovered.

The procedural changes effective on 1 November 2026 under Notice 43/2026 address matters including representatives and email addresses. They do not shorten the five-year dependency. Better administrative plumbing is welcome. It does not hand the buyer control of the basic mark.
