Summary
- Workhorse and RHAELM signed a US$10 million purchase agreement for one full-scale TerraPod manufacturing-spec unit in Union City, Indiana.
- Their separate, non-binding LOI outlines a possible first order of 150 systems after a definitive supply agreement and platform acceptance.
- Workhorse targets production in late 2027 or early 2028; the release gives no per-unit price, margin or binding 150-system order.
The signed document buys one physical answer
The announcement contains two transactions at different stages. The Manufacturing Spec Unit Purchase Agreement covers one full-scale TerraPod unit, which Workhorse will build at its Union City facility. RHAELM will pay US$10 million for that build. The unit is meant to make equipment fitment, service access and assembly sequence visible to RHAELM and its partners before a larger production commitment.
That is a concrete engineering job with a defined price. It gives the partners a place to settle interfaces that drawings can leave fuzzy: how power distribution, cooling, communications, controls and fire suppression fit inside a factory-built module, and whether people can service the equipment once it is installed.
The next document is a non-binding Letter of Intent. It sets a path toward a definitive Supply Agreement, which the companies target for 31 December 2026. The contemplated agreement would provide for expanded engineering, milestone-based prepayments toward a first order and a US right of first refusal for future RHAELM projects.
The first production order has more gates. Under the LOI, RHAELM intends to order 150 TerraPod systems after the supply contract is signed and RHAELM accepts the jointly developed platform. Definitive documents and RHAELM’s internal approvals also remain conditions. The release describes those steps; the 150-system order itself remains conditional on them.
A reference unit is the first production decision
The spec unit is designed to be seen and handled by commercial partners, equipment suppliers and prospective customers. That makes it a product-definition stage as well as a build. The partners can revise the design around equipment fit, service access and assembly sequence before they commit to final prototypes and production.
Workhorse says TerraPod will bring compute, power distribution, cooling, communications, systems control and fire suppression together in modular factory-built units. The release describes an integrated design goal. The first unit has to show that the components can be fitted and assembled in a repeatable way. The release gives no completed-build date, qualification result or production-capacity figure.
Workhorse expects TerraPod production could begin in late 2027 or early 2028. That schedule is a company expectation. The release supplies no line capacity, unit price, expected margin, component-sourcing plan or production investment. It also gives no payment schedule for the US$10 million reference build.
The 150-unit headline has no public price tag
The future supply terms could include first-order prepayments and a US right of first refusal. Those terms would shape who funds early production and which future US projects Workhorse can pursue. They remain part of the agreement the companies intend to negotiate.
The price of the reference build cannot be used to value the production order. One US$10 million unit is a specific engineering purchase; 150 production systems would be a separate commercial package with terms the release has not disclosed. Any revenue or margin estimate would need a unit price, delivery schedule and acceptance terms.
The market question is now a short sequence of receipts: complete the reference unit, record RHAELM’s acceptance, sign the Supply Agreement, document the 150-unit order and then show production timing and delivered systems. The first agreement gives the new platform a paid path into a factory. The size of the business depends on each later step clearing its own gate.
