TalkTalk is preparing to enter exclusive talks with Octopus Investments over the possible sale of PlatformX Communications (PXC), its wholesale network business, Sky News reported. Advisers are expected to give Octopus several weeks of exclusivity while it finalises financing. Banking sources said a formal offer could value PXC at several hundred million pounds. PXC was formed from TalkTalk’s wholesale services and national network business and Virtual1, and says it serves around 1,000 wholesale partners.
PXC and TalkTalk Consumer have traded independently since March 2024. TalkTalk said at the time that the consumer business would access PXC’s network through a long-term exclusive wholesale agreement. Sky News said TalkTalk Consumer, which serves about 1.8 million customers, has also attracted takeover interest. No sale of either business has been agreed, and Sky said the consumer arm could remain with TalkTalk if no deal is completed.
The assessment
TalkTalk has already separated how PXC and its consumer business operate. A sale would change who owns the wholesale network rather than create a new operating split. Under the 2024 arrangement, TalkTalk Consumer accesses PXC through a long-term exclusive wholesale agreement. If that agreement remains in place after a sale, the relationship would move from within one corporate group to one between separately owned businesses. Sky News does not say how the agreement would be treated, and no transaction has been signed.
