Summary

  • Ribbon Communications booked $218.7 million of third-quarter revenue and $26.8 million of adjusted EBITDA. Its fourth-quarter EBITDA guidance runs from $40 million to $47 million, a $43.5 million midpoint roughly 63% above the latest result.
  • Cash and equivalents stood at $40.4 million on 30 September, down from $96.4 million at year-end. The first nine months used $47.9 million of operating cash, and the balance sheet shows a $15 million revolver drawing.

The sales comeback has a cash appointment

The third-quarter release gives the optimistic reading first: revenue climbed 14% from the second quarter, IP Optical Networks sales rose 17%, and Cloud and Edge sales rose 11%. Ribbon also reported stronger activity with its largest customer and a growing pipeline of data-centre and AI work. Orders can revive an equipment supplier fast. The invoice and the cash receipt keep their own calendars.

Revenue was $218.7 million, only $3.3 million above the year-earlier quarter. Gross margin fell from 50.1% to 48.2% over that comparison, and adjusted EBITDA was $26.8 million against $28.9 million a year earlier. The sequential improvement is real. A year-on-year earnings breakout has yet to arrive.

The fourth-quarter forecast asks for a sharper turn. Its $240 million revenue midpoint is about 10% above the third quarter; its $43.5 million adjusted EBITDA midpoint is about 63% higher. The company expects a non-GAAP gross margin of 54%, compared with 50.3% in the third quarter. That is a substantial mix-and-margin wager in one quarter. The release gives no dollar value or delivery timetable for the AI pipeline, so the pipeline cannot be counted as cash for this forecast.

Ribbon's balance sheet is the other half of the story. Nine-month operating cash flow was negative $47.9 million, against positive $22.2 million a year earlier. Cash and equivalents fell from $96.4 million at the end of 2025 to $40.4 million at September's close. The revolving facility carried $15 million; current term debt was $10.9 million and long-term debt net of its current portion was $316.9 million. These are reported balance-sheet amounts, not a calculation of the loan's contractual leverage ratio.

That ratio matters. In the June Form 10-Q, Ribbon disclosed a May amendment that waived the June covenant test, allowed maximum consolidated net leverage of 4.50 to one at 30 September, and sets it at 4.00 to one for subsequent quarters. The amendment also changes the interest margin when leverage exceeds 3.75 to one. Ribbon reported compliance at June's end. The third-quarter earnings release does not give the contractual September calculation; that figure in the next filing would show how much room the rebound has bought.

The credit agreement names the listed company's wholly owned operating subsidiary as borrower. That is the directory-linked operating company Only for Strategic Circle; the results above belong to the consolidated parent, Ribbon Communications Inc.
