The Constant: Who Has Controlled Vorboss Since 2020
The registry record is unambiguous. Fern Fibre Limited (company 11783185) has been the single active person with significant control of Vorboss Limited since 27 November 2020, with ownership of shares and voting rights of 75% or more and the right to appoint or remove directors (Companies House PSC register). Creswick's own PSC entry ceased on that same date. Whatever has been said since about the company's direction, the legal architecture of control has not changed in nearly six years.
Fern Fibre sits within the Fern Trading structure, which is operated by Octopus Investments. The 2020 transaction was reported by Yahoo Finance's syndicated coverage as Octopus-owned Fern Trading buying the broadband firm (Yahoo Finance syndication). Parent-level documents give the structure's financial context: the Fern Trading annual report for the year to 30 June 2024 records group revenue of £634m, group EBITDA of £8m, a loss before tax of £185m attributed in particular to fibre, and 160 million shares issued for £297m during the year, including £217m from existing shareholders (Fern Trading Annual Report FY2024). Fibre assets expanded by £71m in that year.
Secondary sources estimate the exact ownership stake differently: Verdict/GlobalData puts Fern Fibre at 89%, while Pomanda estimates 93.1% (Verdict; Pomanda). The registry itself states only the band — 75% or more. Where sources conflict, the honest reading is the band; the estimates are modelling, not filings.
What the FY2024 Accounts and Secondary Reporting Say — and Where They Disagree
The Yahoo-syndicated report on the June 2024 accounts states pre-tax losses almost doubled to more than £55m on revenues of £3.5m, with surging interest costs, net liabilities of £87m and a parent indication of support for the following twelve months (Yahoo Finance syndication). Verdict, drawing on GlobalData analysis, reports the same £3.5m turnover — up 73% year over year — but negative EBITDA of £36.1m (Verdict).
These two figures are not the same metric: pre-tax loss includes financing costs and non-cash items, while EBITDA strips them. They cannot be averaged or reconciled into one number without the underlying accounts. What they jointly establish is the order of magnitude: a company with single-digit-millions of annual revenue carrying a capital-consuming build programme in the tens of millions, sustained by shareholder support rather than operations.
The build itself is described at three different lengths across sources: Fern's annual report says "over 600km" of fibre with the build due to complete in the following financial year and the focus shifting to commercialisation (Fern Trading Annual Report FY2024); ISPreview's July 2025 coverage cites 700km (ISPreview, July 2025); Vorboss's own marketing claims more than 900km. The £250m investment across London zones 1 and 2, including 22 Bishopsgate, appears consistently in both the parent report and TelecomTV's coverage of the plan (TelecomTV). The network-length discrepancy matters because completion claims are the parent's stated pivot from build to monetisation; readers should treat each figure as its source's claim, not as a reconciled fact.
The registry filing trail shows the capital structure in statutory form: statements of capital following share allotments record £2,418,750 (15 December 2022), £2,431,427 (13 September 2023, with a further SH01 registered 6 March 2025) and £2,444,876 (16 February 2024) (Companies House filing history). Registered office moved to 10 Exchange Square, London EC2A 2BR on 6 June 2024; confirmation statements were filed on 22 March 2024, 2025 and 2026.
The July 2025 Acquisitions: A Strategy Move With an Undisclosed Price
In July 2025 Vorboss acquired Optimity, a managed services provider, and 40fi, a cybersecurity firm, and made an investment in Layer8, which builds network management for commercial real estate. The sums were undisclosed, per ISPreview's reporting and Vorboss's own announcement (ISPreview, July 2025; Vorboss blog). The company is backed by roughly £250m of investment from Fern Trading, advised by Octopus Investments.
The strategic logic attributed to analysts in that coverage is that the deals bring migratable customer bases and higher-margin, stickier services — an attempt to fix the monetisation problem the parent identified a year earlier. That logic is plausible, but its economic test is a disclosed consideration and the acquired businesses' contribution to revenue and margin. Neither is yet public. Until consideration appears in filings, the three deals should be treated as announced portfolio changes, not priced transactions.
The Board: A Record of Churn With Two Constants
The directorate record shows sustained turnover: Creswick's appointment terminated 21 October 2025; Robert James Skinner terminated 12 December 2025; Bryony Marshall appointed 12 December 2025; John Julian Browett terminated 13 May 2025; Adam Charles Dunlop appointed 13 May 2025; David Michael Gilbey appointed 23 July 2024; and Rhodri Charles Kenneth Morgan appointed 1 May 2026 (Companies House filing history). Through this churn, the appointment right itself never moved: it belongs to the PSC. The company has also publicly described a co-CEO structure (Vorboss blog).
A board that turns over at this rate under a controlling shareholder with appointment rights is functioning as management execution for the parent's strategy. That is neither illegitimate nor unusual for a capital-intensive, parent-funded altnet — but it means the meaningful governance event is not any individual departure. It is the founder's December 2025 statement, because it is the first public break in the alignment between the founder and the control structure.
The Founder's December 2025 Statement: A Claim, Not a Finding
In December 2025 Creswick said publicly that he had resigned as CEO and was suing the company he created twenty years earlier, saying he had hoped Octopus Investments, which operates Fern Trading, would "put things right" (ISPreview, December 2025; Creswick LinkedIn post). The statement followed Vitrifi, a Fern Trading company, filing a notice of intention to appoint an administrator.
Three boundaries must be held here. First, this is the founder's stated intention; no claim's grounds, filing or status are public in the sources retained for this article. Second, the administration notice concerns Vitrifi, a separate Fern company, not Vorboss Limited; the connection is the shared parent, and no public source establishes that Vorboss's solvency is directly at issue. Third, the parent's support indication in the FY2024 accounts — intention to support for the next twelve months — was a going-concern statement about a specific period, not an open-ended commitment.
What Would Change the Picture
Three files and one record would resolve the open questions. The FY2025 full accounts, filed on 17 May 2026 with 37 pages, have not been independently read for this article (Companies House overview); their revenue, loss and going-concern language will either confirm or revise the FY2024 trajectory. Any disclosed consideration for the Optimity, 40fi and Layer8 transactions would convert the July 2025 announcements into priced events. Court filings or a company statement would move the founder's stated lawsuit from claim to docket. And any change to the PSC register would mark the first actual transfer of control since 2020.
Until those arrive, the accurate description is a company under unchanged control, running a monetisation strategy its parent has funded at scale, whose founder has publicly broken with it, and whose financial trajectory is known only through secondary reporting of a fiscal year that has already been superseded by a filed but unread account.
