Summary

  • A transferred app’s calendar-year proceeds count towards Small Business Program eligibility for every account that initiates or accepts its transfer.
  • A buyer can inherit ratings and reviews while facing different commission conditions. The seller’s historical margin needs a new calculation before it becomes a purchase price.

Selling an app can get a developer out of the next support shift. Getting its year out of Apple’s arithmetic is harder. The Small Business Program associates a transferred app’s calendar-year proceeds with every account that initiates or accepts the transfer. The seller hands over the business. The annual count keeps a souvenir.

Apple states the rule on its official programme page. It is a modest sentence with a potentially large job in an acquisition model. The app can change its owner without getting a fresh financial childhood.

The million has a particular meaning

Approved, qualifying participants receive a reduced 15% commission on the paid apps and in-app purchases covered by the programme. The million-dollar threshold measures proceeds: sales after Apple’s commission and certain taxes and adjustments. Customer billings, company profit and the price paid to acquire an app are different numbers.

Eligibility considers the twelve fiscal months within the previous calendar year and also tracks the current year. Associated developer accounts are aggregated. When a participant exceeds the threshold during the current year, the standard commission applies to future sales for the remainder of that year under the relevant terms. A later year below the threshold can allow qualification again the following year. A small team also needs admission to the programme; size alone does not switch on the discount.

That gives an app’s historical margin an address. It was earned in a particular account under particular conditions. A buyer brings existing products, proceeds and perhaps associated accounts to the calculation. Copying the seller’s commission into the buyer’s forecast imports a benefit before establishing that the buyer can receive it.

Every hand stays in the year

The developer agreement’s Schedule 2 includes a transferred app’s proceeds in each transfer party’s eligibility calculation. If it changes hands several times in one calendar year, every party is included. The last owner does not acquire exclusive possession of the year’s history.

Associated accounts enter by a separate route: ownership or control. Apple lists majority interests above 50%, as well as ultimate decision-making authority. Incorporating another company does not automatically create another independent allowance. Improper use of multiple accounts to benefit from the programme is prohibited.

Buying one app does not automatically make its buyer the controller of its seller. The transfer rule still reaches both because they participated in the transaction. Apple follows who controls the accounts and, separately, which accounts handled the app during the year. A diligence exercise confined to the corporate ownership chart misses the second question.

The seller has a calculation too. A sale can bring cash and remove operating work while the app’s annual proceeds remain relevant to conditions on the apps it keeps. A smaller catalogue need not produce the expected headroom under that year’s threshold. The team has stopped serving the product; the programme has not stopped remembering it.

Reputation crosses. Financial reports divide.

Apple’s transfer guide describes a useful continuity: an eligible app can remain downloadable during transfer, retain its ratings, reviews and Bundle ID, and keep delivering updates to users. Buyers have good reason to value a product that can carry its reputation across the bridge.

Sales and payment information follows a different boundary. The seller keeps access to information about transactions before the transfer, but not those after it. The recipient receives sales and payment information for transactions after the transfer. App Analytics has separate historical-access rules. A continuous product does not give both companies one complete, shared financial book.

There is work for the acquisition agreement in that gap. Eligibility remembers the year while financial access is divided at the handover. The parties need to agree how relevant history will be supplied and how its definitions reconcile. Apple also leaves the actual source code and build assets to be exchanged directly between seller and recipient. A successful transfer in the store does not perform the entire operating handover.

Put the discount back into the price

A buyer needs the cash that will remain after the commission applicable to its own account. That remainder pays for maintenance, support and development. Treating the seller’s discount as a permanent software feature puts real money behind a convenient assumption.

Quantifying a particular deal requires its monthly dollar proceeds, taxes and adjustments, other account totals, accepted terms and transfer timing. With those inputs, a negotiation can concern available margin rather than a flattering historical percentage.

Apple permits the asset to move and retains the definition of who counts as small. The app’s reputation can travel intact while its commercial treatment depends on a larger sum. Before paying for a margin, the buyer needs to establish whose account makes it possible.

The sale agreement may close the transaction. To Apple’s annual calculation, it has added another participant.
