Polkomtel is committing to buy a larger and substantially renewed network service. The commercially interesting part is that the operator expects the passive infrastructure within that service to become cheaper per unit. That is a procurement proposition, not yet evidence of a smaller overall invoice.
The issuer's September 11 disclosure records a signed amendment to the July 2021 services agreement with Towerlink Poland and Cellnex Poland, accompanied by an order covering colocation, radio emission and transmission. It follows the non-binding term sheet announced in May. Polkomtel, the operator behind Plus and a wholly owned subsidiary of Cyfrowy Polsat, has moved from negotiating principles to an amended agreement and an order.
The issuer expects roughly 5,000 more network points of presence to be available to Polkomtel by 2041 through shared Cellnex passive infrastructure. It also expects consolidation to reduce the unit cost of that infrastructure. These are additional available locations, not a statement that 5,000 new towers have been built. Access to an existing shared site and construction of a new tower are different ways of expanding a network footprint.
Steel and radio equipment follow different cost paths
The order goes beyond leasing space. It includes complete replacement of the active radio access network using Nokia and Ericsson solutions selected through a market tender, plus changes to the transmission layer. The Plus signing announcement presents the project as a network expansion and modernisation. The 2041 date in the issuer's disclosure qualifies the additional presence-point expectation; it should not be reused as an unannounced completion date for every equipment change.
There is an existing operating relationship underneath this decision. Cellnex's 2021 acquisition announcement covered both passive and active Polkomtel infrastructure. Towerlink's role, as described by the transaction adviser, includes managing both layers used to provide Polkomtel's retail services. This is not a newly announced sale of the operator's towers, and the old acquisition price is not the value of the new order.
Sharing can distribute the cost of a durable site across more users. Cellnex describes that multi-operator operating model alongside design, maintenance and operation services. But the economic comparison still needs quantities and scope. A lower charge for one passive unit can coexist with more units purchased and new active-network obligations. The disclosure does not quantify the unit discount or give a total price for the 2026 order.
Four per cent limits an adjustment, not the whole purchase
The amendment sets a maximum annual inflation-based indexation of 4%. That is useful information about one route by which prices can change. It is not a promise that prices rise by 4% every year, nor a ceiling on aggregate spending as the network expands. The public report does not provide the full indexation formula or enough invoice detail to reconstruct the lifetime bill.
The issuer expects better coverage, capacity and service quality, including support for obligations attached to 5G spectrum reservations. Those are intended benefits. The present news is a contractual commitment to a network transformation; delivered performance and comparable spending remain the tests of its economics.
