    IBM targets $2.3 billion acquisition deal with Software AG

    • IBM has unveiled a pending acquisition agreement with Software AG, a company mainly owned by Silver Lake, to unleash new digital services.
    • IBM’s focus on valuable AI and hybrid cloud is proven by its strategic payment of $2.3 billion (€2.13 billion) to purchase Software AG’s enterprise integration platforms.

    IBM has entered an acquisition agreement with Software AG to enhance its AI and Hybrid Cloud capabilities. Huge AI and hybrid cloud services advancement by the combination of the two leading companies is on the way. No matter your industry, IBM will be able to equip you with strong integration technologies, application modernization, data fabric, and IT automation to obtain the greatest values from their applications and data.

    Acquisition deal enhances IBM Watsonx services

    As the digital transformation of organizations is speeding up, IBM announced on Monday its plan to buy StreamSets and webMethods for $2.3 billion in cash from Software AG, a 54-year-old German multinational software corporation to enhance its AI and hybrid cloud capabilities. The goal of Software AG is to integrate data, applications, processes, devices, and clouds so that information can flow more freely, turning data into value.

    The two platforms are at the heart of the Super IpaaS service of the German company. Being fast growing and profitable, this promising platform serves over 1,500 clients worldwide, providing uses such as application integration, data integration, and application programming interface (API) management.

    The combination with IBM’s current Watsonx platform aims to unlock new possibilities in application modernization, data fabric, and IT automation. Watsonx can be deployed and embedded across the clients’ business to manage all data sources and ensure efficient AI workflows. StreamSets will enhance IBM with data ingestion capabilities, while webMethods is expected to offer integration and API management tools.

    IBM’s Ambition: AI and hybrid cloud to be enhanced

    All the above steps prove where IBM’s continued focus is — AI and hybrid cloud improvement.

    According to Sanjay Brahmawar, Chief Executive Officer of Software AG, “Combined with IBM’s global scale and focus on hybrid cloud and AI, our people will have a fantastic opportunity to develop while helping enterprises everywhere get the most out of their applications and data.”

    “We believe that there is no business more iconic or better suited than IBM to continue investing in and growing these great platforms,” said Christian Lucas, Chairman of the Supervisory Board of Software AG and Managing Partner of Silver Lake, “We are pleased that our investment in Software AG helped spark that vision, reflecting Silver Lake’s commitment to partner with the world’s best management teams and technology leaders in driving exceptional value creation for customers, employees and other stakeholders.”

    The result of the transaction is subject to regulatory approvals and other factors, and is expected to be completed in the second quarter of 2024.

    Meanwhile, Silver Lake has announced the delisting offer for Software AG at $34.96 (€32) per share, the next step following the takeover plan.
