    Next steps from AFRINIC: How will the board get it back on track?

    Legitimacy of the new board in question

    AFRINIC’s recently issued communiqué lays out plans for stabilizing the organization, but it fails to confront the most pressing issue: the legitimacy of the current Board. The election process that brought the Board into power has been deeply controversial. Reports indicate that improper Power of Attorney (PoA) documents were used, which violates AFRINIC’s own bylaws. This casts doubt on the fairness of the election and the legitimacy of the appointments, including the Chairman and Vice Chairman.

    These issues are compounded by potential violations of the Constitution of Mauritius, which requires fair representation in corporate governance. Despite these allegations, the Board remains in place, and no clear steps have been taken to address the flaws in the election process. Until the leadership crisis is resolved, AFRINIC will struggle to regain its credibility in the eyes of its members and the global Internet community.

    Rebuilding governance and trust

    While the Board has outlined several steps to stabilize AFRINIC, including the creation of sub-committees for finance, audit, and legal matters, these efforts will likely fall short if the governance crisis remains unresolved. The Legal Committee is tasked with reviewing the ongoing legal issues, including the fraudulent use of PoA documents during the election. However, its success depends on the Board first addressing its own legitimacy and taking steps to restore trust within the community.

    The communiqué also notes a commitment to reviewing AFRINIC’s bylaws and undertaking institutional reform. These efforts are necessary for the long-term sustainability of the organization, but they cannot replace the need for immediate action to fix governance flaws. Transparency, fairness, and community involvement are essential to ensure that any reforms are legitimate and accepted by all stakeholders.

    The road ahead: Can AFRINIC rebuild?

    For AFRINIC to get back on track, it must prioritize rebuilding trust and legitimacy. The Board needs to conduct a thorough and transparent review of the election process, address the legal challenges, and take immediate steps to restore fair governance. This includes possibly holding new elections that comply with AFRINIC’s bylaws and the Constitution of Mauritius.

    Additionally, the commitment to appointing a new CEO and addressing the leadership vacuum is a step in the right direction. However, these goals can only be achieved if the Board first resolves the fundamental issues of legitimacy and governance.

    Ultimately, AFRINIC’s future hinges on its ability to confront these challenges head-on. By prioritizing legal compliance, transparency, and community involvement, AFRINIC can rebuild its reputation and return to its rightful place as a key player in the global Internet ecosystem. Until these issues are resolved, however, the organization will continue to face questions about its ability to govern effectively and fairly.
