    • NTT plans to acquire remaining 42.3% stake in NTT Data for $16.4 billion.
    • Tender offer set at ¥4,000 per share, a 34% premium over previous closing price.

What happened: NTT proposes buyout of NTT Data

Nippon Telegraph and Telephone Corporation (NTT) has announced its intention to acquire the remaining shares of its subsidiary, NTT Data, that it does not already own. The proposed tender offer is valued at approximately $16.4 billion, with NTT offering ¥4,000 per share—a 34% premium over NTT Data’s closing price on the previous trading day.

NTT currently holds a 57.7% stake in NTT Data, a leading provider of IT services with a strong presence in the public and financial sectors. The acquisition aims to streamline operations and enhance synergies between NTT’s telecommunications services and NTT Data’s IT solutions.

Following the completion of the tender offer, NTT Data is expected to be delisted from the Tokyo Stock Exchange. This move reflects NTT’s strategy to consolidate its group companies and strengthen its position in the global IT services market.

    Why it is important

The proposed acquisition of NTT Data by NTT is significant for several reasons. Firstly, it represents one of the largest buyouts in Japan’s corporate history, highlighting a trend of consolidation among Japanese conglomerates. By fully integrating NTT Data, NTT aims to enhance its competitiveness in the global IT services market, particularly in areas such as cloud computing, data analytics, and digital transformation.

Secondly, the move underscores NTT’s commitment to restructuring its group companies to create a more unified and efficient corporate structure. This strategy is expected to facilitate better resource allocation, streamlined decision-making processes, and improved customer service offerings.

Lastly, the acquisition reflects broader trends in the telecommunications and IT industries, where companies are increasingly seeking to expand their service portfolios and global reach through mergers and acquisitions. NTT’s initiative may influence similar strategies among other major players in the sector.
